Terms & Conditions

Last updated October 6, 2026
On this page

These Terms and Conditions (the Terms) govern access to and use of Nurai Connect, a digital platform that connects people and organisations seeking workers, employment opportunities, professional services, tasks and other lawful work-related opportunities. They apply to visitors and registered users, including job seekers, employers, clients, workers, contractors, freelancers, service providers, businesses and organisations.

Please read these Terms carefully. Your agreement with Nurai Connect concerns the services provided by the Platform. An employment relationship or an agreement for work or services between users is a separate relationship, subject to the actual arrangement and applicable law. Nurai Connect does not promise employment, a successful hire, an assignment, a particular income, or the satisfactory performance of a third party.

These Terms are intended to operate across the markets in which Nurai Connect makes its services available. Mandatory consumer, employment, worker, privacy, financial-services and other rights arising under applicable law continue to apply. Nothing in these Terms excludes rights that cannot lawfully be excluded.

PART I — THE PLATFORM AND THE AGREEMENT

1. Acceptance and contractual effect

1.1 By registering for an account, affirmatively accepting these Terms, purchasing a Platform service, posting or accepting an opportunity, or otherwise using a feature after these Terms have been presented to you, you agree to the Terms applicable to that activity. If you act on behalf of an organisation, you represent that you are authorised to bind it.

1.2 If you do not agree, do not register or use the relevant service. Access to public pages alone does not replace a legally required affirmative acceptance, payment authorisation or other consent.

1.3 These Terms apply together with any transaction-specific conditions and applicable published policies clearly identified before the relevant action. The Privacy Policy is a separate document governing personal-information practices; these Terms do not replace privacy notices or consents required by law.

1.4 A transaction-specific price, accepted scope of work, cancellation condition or other material condition shown before confirmation forms part of that transaction. A material conflict is resolved in this order: mandatory law; the expressly accepted transaction-specific condition; applicable local terms properly notified to you; and these Terms, unless the applicable documents expressly provide a lawful different priority.

2. Nurai Connect and its operating entities

2.1 Nurai Connect is the trading platform operated by Nurai Group Pty Ltd , an Australian company. Nurai Connect may conduct or support activities in other countries through subsidiaries, affiliated companies, branches, authorised local operators, contractors or other lawful arrangements (together, Nurai Entities).

2.2 Where a particular service, invoice, contract, country-specific arrangement or transaction is provided by a named Nurai Entity rather than Nurai Group Pty Ltd, that entity will be identified in the relevant Platform disclosure, confirmation, invoice or agreement as required. The identified entity is responsible for its own obligations under that arrangement, without removing any responsibility imposed on another Nurai Entity by law.

2.3 The existence of a country page, flag, language, currency or branch listing does not establish that Nurai has formed a company, holds a licence, has an office or has launched every service in that country. Only verified, expressly communicated market availability and entity details should be relied upon.

2.4 References in these Terms to Nurai, Nurai Connect, we, us and our mean Nurai Group Pty Ltd or the relevant identified Nurai Entity responsible for the service in question, as the context requires. A group relationship does not automatically make every company jointly liable for every contract.

3. Definitions

3.1 Platform means the official Nurai Connect website, authorised applications, account interfaces, matching and communication tools, wallet functions, administrative systems, and connected services made available under the Nurai Connect brand.

3.2 User means anyone who accesses or uses the Platform. Account Holder means a User with an active registered account. Organization includes a business, company, partnership, agency, institution, charity, association or other lawful entity.

3.3 Employer means a User advertising or offering employment or engaging in a recruitment process. Job Seeker means a User seeking or applying for employment. Client or Job Provider means a User seeking to engage another User for a task, service, project or other opportunity, whether as an individual, household, business or organisation.

3.4 Worker, Contractor, Freelancer or Service Provider means a User who offers to perform work or services. These descriptions are functional Platform labels; they do not determine whether a person is legally an employee, contractor, employee-like worker, labour-hire worker or another protected class.

3.5 Employment Listing is a posting for an employment opportunity. Task or Service Request is a request for identified services or work. Service Agreement is an arrangement formed between a Client and a Service Provider for a Task or Project. Project ordinarily involves agreed professional deliverables or milestones. Shift is a defined period of work whose proper legal classification depends on the circumstances.

3.6 Wallet means the account-linked interface and ledger through which eligible Users may view balances, credits and supported transactions. Top-Up means an authorised addition of eligible funds to a Wallet. Available Balance, Pending Balance, Restricted Balance and Promotional Credit have the meanings indicated in the Wallet interface and Sections 29–33.

3.7 Nurai Fee means a properly disclosed Platform posting, matching, service, connection, commission, subscription, processing, promotional or other charge. Third-Party Provider means an independent provider of financial, technical, verification or other services used in connection with the Platform.

3.8 Applicable Law includes legislation, binding regulations, court orders and non-excludable legal requirements that apply to the relevant parties, location, work activity, payment or transaction.

4. Global scope and local availability

4.1 The Platform is intended for international use but may make different features, job categories, verification methods, payment methods and transactions available in different places. A globally visible listing does not mean it is open to every applicant or legally actionable in every jurisdiction.

4.2 We may launch, restrict, suspend or withdraw specific products, categories, payment functions or country operations for legal, safety, compliance, technical, commercial or operational reasons, subject to accepted transactions and mandatory rights.

4.3 Users must comply with the laws of their place of residence, the place where work is performed, any country from which they access the Platform, and any other law that legitimately applies to the activity. A local law may require additional notices, permissions, user rights, contracts or restrictions.

4.4Where local rules confer non-waivable rights, those rights prevail over an inconsistent provision of these Terms to the extent of the inconsistency. We may publish market-specific conditions when necessary; we will identify them when they apply.

5. Eligibility and age

5.1 Unless Nurai expressly makes a legally compliant alternative available, independent Account Holders must be at least 18 years old, possess legal capacity to enter these Terms, and be legally entitled to use the relevant services. Organisations must act through authorised representatives.

5.2 We may require confirmation of identity, age, location, eligibility, authority or lawful business status when reasonably required. We may refuse or restrict access where eligibility cannot be established, where use is prohibited by law or where a valid safety or security restriction applies.

5.3 Individuals must not use inaccurate dates of birth, fictitious identities, another person's credentials or false location details to bypass eligibility controls. A permitted account does not by itself authorise the holder to undertake any regulated or age-restricted work.

6. Accounts, security and access

6.1 Account information must be accurate, complete and kept up to date. You are responsible for maintaining the confidentiality of your credentials and the security of devices used to access the Platform. Notify us promptly if you suspect unauthorised access or misuse.

6.2 You must not sell, lease, transfer or share a personal account, create deceptive duplicate accounts, impersonate another User or use someone else's identity or financial details without lawful authority. Organisational access must be granted through approved user roles when available.

6.3 We may require additional authentication, identity verification, session confirmation or payment checks before allowing a high-risk action. We may temporarily restrict access after suspicious activity, subject to appropriate review and applicable law.

6.4 The Platform may allow a person to operate in multiple roles through one account. Acting as an Employer, Client, Worker or Job Seeker on different occasions does not change the legal obligations attached to each individual transaction.

7. Organisations, teams and representatives

7.1 A person posting, messaging, purchasing, hiring or making payments for an Organisation represents that they have authority to do so. The Organisation is responsible, to the extent permitted by law, for actions of its authorised account representatives and for managing their access.

7.2 Organisations must keep their legal and trading names, business registration details, authorised representatives and billing details accurate. Access to applicant profiles and other User information must be restricted to people with a legitimate recruitment or service purpose.

7.3 A business or agency may not present itself as the direct employer or service provider where another entity is legally responsible without making the arrangement clear where required. We may request supporting documentation to verify authority or resolve disputes.

8. Nature of Nurai Connect's role

8.1 Nurai Connect is principally an intermediary digital marketplace enabling people and organisations to find one another, advertise lawful opportunities, communicate and, where supported, arrange and record transactions. Nurai Connect does not itself offer the advertised employment or ordinarily act as the Employer, Client or Service Provider in user-to-user arrangements.

8.2 Employers make their own recruitment decisions and bear the legal duties of their employment relationships. Clients and Service Providers ordinarily agree the scope and delivery of their own services. Their agreement is distinct from Nurai's agreement to provide Platform services.

8.3 Nurai may administer Platform payments, wallets, records, verification, moderation, support and dispute processes. Performing these functions does not automatically make Nurai the employer or supplier of every service; equally, this clause does not remove duties arising from the actual operations, an express contract or Applicable Law.

8.4 Nurai does not guarantee that a User is suitable, a listing is genuine, a required licence remains valid, a Service Provider will perform satisfactorily, a Client will be safe, an applicant will be hired, or a stated result will be achieved. Any verification or protection explicitly offered by Nurai is governed by its actual scope and applicable legal obligations.

9. No guaranteed opportunities or earnings

9.1 Access to the Platform, payment for a listing, membership, verification badge, featured placement, match or other service is not a guarantee of applicants, interviews, offers, bookings, work, income, visas, professional licensing, a particular ranking or business results.

9.2 Users must make their own informed decisions about the suitability, legality and risks of opportunities and engagements. We may supply information, tools and support, but we do not promise to independently investigate every statement or posting unless an applicable service or law requires a specific check.

PART II — EMPLOYMENT AND WORK OPPORTUNITIES

10. Employment advertisements

10.1 Employers must publish genuine opportunities they have authority to offer. Listings must not materially misrepresent the hiring entity, role, location, work arrangement, duties, essential qualifications, legal eligibility, compensation basis, working conditions or application procedure.

10.2 Employers are responsible for compliant recruitment practices, applicable wage and employment conditions, lawful work eligibility checks, immigration and sponsorship representations, workplace safety, equal opportunity obligations, and any employer payroll, tax, insurance or social-security obligations.

10.3 Employers must not post fictitious roles, collect applications for an undisclosed or improper purpose, demand unlawful recruitment payments, discriminate unlawfully, misrepresent sponsorship or require applicants to share passwords, security codes or unrelated sensitive information.

10.4 Nurai may review, request clarification, amend formatting, limit distribution, suspend or remove an advertisement where reasonably necessary to enforce these Terms, comply with law, protect Users or address credible fraud or misleading content. We are not required to publish every advertisement submitted.

11. Job Seekers and applications on the Platform

11.1 Job Seekers must submit accurate qualifications, experience, licences, work rights, availability and other material information. They must not claim credentials or employment history they do not hold.

11.2 Where an application takes place within Nurai Connect, the Platform may record its submission, communication and status to the extent the relevant tools support those functions. Receipt by the Platform does not mean that an Employer has reviewed, shortlisted or accepted the application.

11.3 Employers remain responsible for their screening, interview, offer and hiring decisions, lawful handling of applicant information and any employment relationship that follows. Nurai does not guarantee that an Employer will respond within any period or give reasons for a hiring decision.

11.4 A job advertisement, candidate application or successful match does not itself establish an employment contract with Nurai. Any employment relationship depends on the actual parties, facts and Applicable Law.

12. External applications and third-party recruitment websites

12.1 Some Employment Listings direct applicants to an external website, Employer portal, recruitment system, email address or other third-party application process (External Application). Selecting an external link may take the User outside the Platform.

12.2 Once an applicant leaves the Platform or submits information to a separate recruitment service, the receiving Employer or third party ordinarily controls that application process, including data collection, account creation, screening, communications, status tracking, interviews and hiring outcomes. Their own terms and privacy notices may apply.

12.3 Nurai does not ordinarily receive or control an External Application merely because the opportunity was advertised on the Platform. We do not promise to track its delivery, confirm its acceptance, monitor its progress, recover information submitted to a third party or secure a response from the receiving organisation.

12.4 Users should check the destination and legitimacy of external recruitment sites before providing sensitive information or paying anything. Employers must provide honest destination information and must not deliberately use misleading, unsafe or fraudulent links.

12.5 We may disable or remove an external link after credible notice of fraud, malware, deceptive conduct or other violations. Nothing in this clause limits responsibilities that Applicable Law imposes on Nurai for its own acts or omissions.

13. Recruitment agencies, intermediaries and third-party postings

13.1 An agency, staffing business or representative posting on behalf of an Employer must be authorised to do so and must disclose its role where required. It must not misrepresent the identity or existence of the hiring organisation or collect candidate information for undisclosed purposes.

13.2 Recruitment agencies and Employers are responsible for required local registrations or licences, candidate consent, work eligibility, anti-discrimination duties and lawful processing or transfer of applicant data. Nurai may request evidence of agency authority or remove postings that cannot be verified reasonably.

13.3 No User may represent that Nurai itself has approved a job, obtained a visa, guaranteed placement, conducted full background screening or assumed an Employer's obligations unless Nurai has expressly confirmed that service in writing.

14. Services, tasks and client requests

14.1 Clients may publish service needs, Tasks, quotations or booking requests when the relevant feature is available. The Client must describe the work honestly and with sufficient detail to support an informed offer, including relevant dates, location, scope, expected outcomes, access conditions, materials, equipment, hazards and payment basis.

14.2 The Client must not intentionally understate the size, time, cost or risk of work, require work outside the accepted description without agreement, conceal hazards, demand unlawful or unlicensed services or provide false access information.

14.3 Posting a Task does not itself create an obligation for any Service Provider to accept it, nor does it guarantee service availability. Where posting a Task is free, Nurai may nonetheless charge a properly disclosed service or transaction fee when a paid engagement is entered into or completed.

14.4 Clients must ensure they can lawfully authorise entry to the relevant property or location and must provide a reasonably safe work environment, subject to any further duties imposed on the relevant parties by Applicable Law.

15. Workers and Service Providers

15.1 Service Providers are responsible for accurately stating their skills, business status, availability, rates, licence status, insurance and ability to perform offered services. They must only accept work that they can lawfully, competently and safely carry out.

15.2 Service Providers must comply with the accepted work scope and applicable professional, safety, tax and employment obligations. They must not misrepresent arrival, time worked, materials used, work completed, licences or expenses incurred.

15.3 Service Providers must respect privacy, premises rules and lawful Client instructions. They must not disclose Client addresses, entry codes, photographs of private premises or confidential business information outside what is necessary for the agreed service and lawful recordkeeping.

15.4 A Provider must not delegate, substitute or subcontract materially regulated or sensitive work without the Client's appropriate consent and any required verification or legal authorisation. A User remains responsible for breaches caused by unauthorised substitutes to the extent the law permits.

16. Offers, acceptance and service agreements

16.1 Unless the Platform expressly states a different arrangement, a Client's posted request is an invitation to receive proposals; a Provider's response is an offer; and a binding Service Agreement ordinarily arises when the relevant parties accept the final scope, price and conditions and any required booking confirmation is completed.

16.2 The service parties are responsible for the terms of their Service Agreement, including agreed tasks, deliverables, price, working hours, materials, changes, legal classification and any required insurance. Nurai provides the supporting marketplace service and is not ordinarily a party to the underlying Service Agreement.

16.3 The Platform may record a transaction summary, messages, acceptance, changes, evidence, invoices or completion events. Users should retain relevant lawful records. Any provision of this Section is subject to local legal requirements governing contract formation.

17. Scope changes, additional work and worksite disputes

17.1 Neither party may unilaterally increase a price, hours, materials charge or scope after acceptance. Material changes must be explained and accepted by the appropriate parties before the additional work is performed or charged, except where a mandatory legal rule applies.

17.2 If work differs materially from the description, the Provider may pause and request clarification or a revised quote; the Client may accept, reject or propose another lawful solution. Where supported, the parties should record the proposed change and their response in the Platform.

17.3 A Provider may refuse an unsafe, unlawful, unlicensed or materially different task. The parties remain responsible for any lawful consequences of cancellation, work already done, reasonable expenses and agreed travel arrangements. A dispute may be referred to the Platform support process where the relevant service is managed through Nurai.

18. Rates, service charges and employment protections

18.1 Parties may use an hourly rate, fixed quote, budget, milestone, shift rate or other lawful pricing model supported by the relevant activity. Any mandatory charge or disclosed addition must be clearly shown before payment or acceptance.

18.2 Users are responsible for complying with applicable minimum wages, employment conditions, collective agreements, workplace classification requirements and other mandatory standards. A Platform label such as “contractor”, “freelancer”, “quick task” or “service” does not override the legal reality of the relationship.

18.3 The parties must not use Platform fees or commissions to circumvent non-waivable pay entitlements, make unlawful deductions from wages, or impose prohibited recruitment charges. A separate lawful Platform fee does not reduce a User's statutory employment rights.

19. Scheduling, attendance and recurring arrangements

19.1 Users must provide reasonably accurate availability and promptly notify the other party of known delays, cancellations, access problems or inability to attend. Dates and times displayed in another time zone must be confirmed where they are material.

19.2 For recurring services, each recurrence, renewal, rate or cancellation arrangement is governed by the conditions expressly accepted for that recurring arrangement. An automated reminder or suggested repeat booking is not itself consent to a new paid service.

19.3 Where the Platform supports check-in, check-out, photographs, location signals or other completion evidence, such records may assist administration but are not conclusive proof of lawful performance, working time or the absence of a dispute.

20. Remote projects, deliverables and intellectual property

20.1 For remote or project-based work, Clients and Providers should agree the deliverables, milestones, revision process, necessary materials, timetable, confidentiality terms, price and acceptance criteria before work begins.

20.2 Ownership or licensing of deliverables between a Client and Provider depends on their separate lawful agreement and Applicable Law. Payment for a service does not automatically transfer every pre-existing tool, code library, method, template, third-party licence or intellectual property right unless the parties have lawfully agreed otherwise.

20.3 Neither party may use, upload or supply materials that infringe third-party rights. Material scope changes or extra revisions require agreement where additional charges or delivery obligations arise.

21. Temporary shifts and international opportunities

21.1 Where temporary shifts or staffing opportunities are supported, the party engaging the worker must establish and comply with the correct legal arrangement, including wage or contractor payment, breaks, safety, insurance, supervision, payroll and labour-hire requirements where applicable.

21.2 Listings described as international, global, overseas, remote or relocation-friendly do not guarantee that a candidate has lawful work rights, is eligible for a visa, may work remotely from every location, or will receive sponsorship. Employers must make accurate sponsorship representations and meet their own immigration and employment obligations.

21.3 Nurai does not provide regulated migration, legal, taxation or professional accreditation advice merely by displaying an international opportunity. Users should obtain advice from appropriately authorised professionals where required.

22. Sector, country and occupation-specific requirements

22.1 A User's eligibility for a role or service may depend on the relevant country, state or region, sector, actual occupation, individual task and applicable legal requirements. Not all work requires a licence, certificate, police check, insurance policy, tax registration or other document.

22.2 Where legally or reasonably required for a particular category, Nurai may request evidence of professional registration, a trade or occupational licence, education, identity, right to work, business registration, tax identifier, police or safeguarding check, insurance, vehicle entitlement, special screening or a relevant renewal.

22.3 Registration on the Platform may be permitted before verification is completed; eligibility to advertise, accept or perform a particular regulated activity may be restricted until the appropriate requirements are satisfied. Users remain responsible for the truth and continuing validity of their evidence.

22.4 Verification by Nurai or a third party is limited to the specific check undertaken and the information available at that time. It is not a guarantee of personal character, future conduct, insurance coverage for every risk or legal eligibility for all work in every country. The parties must make other lawful suitability checks where appropriate.

PART III — PRICING, PAYMENTS AND WALLETS

23. Platform fees and commissions

23.1 Nurai may offer free and paid features, including employment advertisement fees, premium or featured listings, matching services, Service Agreement commissions, transaction charges, membership subscriptions, business services and other clearly identified Platform products.

23.2 No Nurai Fee is payable merely because a fee type is mentioned in these Terms. A fee applies only where the relevant service is offered and the fee, responsible payer, amount or calculation method, applicable currency, and material conditions have been disclosed before the User commits to it. A Task may be free to post while an accepted paid Task attracts a separately disclosed Platform fee.

23.3 Fees may vary lawfully by country, category, type of opportunity, membership benefit, payment method or promotional arrangement. A fee displayed for one transaction does not automatically apply to other transactions, countries or Users. Taxes and mandatory additional charges will be displayed or explained as required before commitment.

23.4 A job-advertising fee purchases the stated advertising or promotion service, not a promised number of applicants or a hire. Where any lawful fee depends on an identifiable successful hiring event or other outcome, the liable party, definition of the event, evidence, amount or calculation basis and applicable conditions must be expressly disclosed and agreed in advance.

23.5 We may correct a clear pricing error before acceptance, decline an uncompleted transaction or contact the User to seek confirmation of the corrected price. We will not impose undisclosed charges retrospectively on completed or already accepted transactions contrary to law or the agreement.

24. Memberships, subscriptions and paid account features

24.1 Nurai may offer optional plans for eligible account categories. The plan description shown before purchase will identify the price, currency, benefits, duration, relevant limits or credits, renewal arrangements, material exclusions and applicable cancellation method.

24.2 A plan does not guarantee employment, bookings, business leads, a particular ranking or selection by another User. Free-post allowances, featured credits, discounts, matching entitlements and other benefits apply only under the stated plan conditions and cannot be used beyond their disclosed limits.

24.3 If a subscription renews automatically, this will be clearly disclosed before the first charge and supported by the consent required by law. Users may cancel future renewals through an available account control or the published support channel. The effect of cancellation on current paid-period benefits and any lawful refund entitlement depends on the accepted plan terms and Applicable Law.

24.4 Nurai may change prices or features for future subscription periods with notice required by law and a fair cancellation opportunity where necessary. Paid benefits already earned or purchased will not be retrospectively removed unlawfully.

25. Payment authorisation and supported methods

25.1 The Platform may allow eligible Users to pay applicable charges, fund Wallets and settle Tasks or other transactions through the supported methods identified at the time of payment. Available methods, currencies and financial functions may vary by location and account status.

25.2 By confirming a purchase or Wallet-funded payment, the User authorises the amount and transaction conditions displayed at confirmation. Users must use payment instruments that they lawfully own or are authorised to use and must not initiate a transaction using stolen, false or unauthorised financial details.

25.3 Payment initiation, authorisation, processing, completion and possible reversal are different stages. A successful screen notification or ledger entry does not necessarily mean that a payment is irrevocable or that funds are immediately available for withdrawal.

25.4 Nurai may use appropriate financial institutions, processors or other authorised service providers for some steps of a transaction. Nothing in these Terms requires any particular payment brand or internal banking route to be used permanently. Where a separate provider's legally binding terms apply to a specific method, those terms will be presented or made available as required.

26. Wallet access for both sides of the marketplace

26.1 Nurai may provide Wallet functionality to both sides of the marketplace, including eligible Employers, Clients, Job Seekers, Workers, Contractors and Service Providers, and to other supported account categories. A User may access different Wallet functions depending on the role, balance type, identity verification, transaction history, jurisdiction and services enabled.

26.2 An eligible Employer or Client may use its Wallet to view funds, make Top-Ups and pay for supported Tasks or charges. An eligible Worker or Service Provider may receive recorded earnings, view transaction history and request withdrawal of eligible funds. A User who acts in more than one role may have both payment and earnings activity, subject to the Platform's controls.

26.3 Nurai may show separate available, pending, reserved or restricted, refunded and promotional amounts so that Users can understand what they can spend or request for withdrawal. A display of a balance is not, by itself, a promise that the whole displayed amount is immediately transferable or withdrawable.

26.4 Wallet availability does not give a User the right to operate the Platform as a general-purpose money transfer facility, to transfer amounts between unrelated persons or to use Wallet functions outside the permitted marketplace purposes. We may restrict a transaction if it is not supported, lawful or adequately verified.

27. Wallet Top-Ups

27.1 Where Top-Ups are available, an eligible User may add funds to the Wallet using a supported payment method and the instructions shown in the Platform. A Top-Up is credited only after the required payment confirmation and any applicable verification, reconciliation or fraud screening.

27.2 Users are responsible for confirming the amount, currency, payment details and intended Wallet before completing a Top-Up. Unauthorised transactions, incorrect credits, payment reversals, duplicated entries and chargebacks may be investigated and corrected in accordance with Applicable Law.

27.3 A Top-Up is not automatically a completed purchase of a Task. Funds that are available for payment remain subject to the terms governing their source, currency, lawful use, permitted withdrawal and any outstanding transaction obligations. Promotional credit is not the same as user-funded money.

27.4 A request for a Top-Up refund or withdrawal will be assessed according to the balance's nature, any related transaction, fraud or payment restrictions, disclosures presented at the time of payment and applicable refund and financial-services rights. Nurai will not treat lawfully refundable money as non-refundable solely because it entered a Wallet.

28. Paying for Tasks and other services with Wallet funds

28.1 An eligible Client or Employer may pay for a supported Task, Service Agreement, Platform charge or other eligible purchase using available Wallet funds when the Wallet payment option is offered at checkout.

28.2 Before a User confirms a Wallet payment, the Platform will identify the material transaction amount and relevant fees, taxes, currency and available balance information as required by law. The User authorises the specified debit and the corresponding recording of the transaction.

28.3 If available funds are insufficient, restricted or otherwise ineligible for the proposed purchase, Nurai may decline the payment or invite the User to use another supported funding method. We are not required to advance funds, extend credit or complete a transaction before sufficient lawful payment is available.

28.4 A payment made through a Wallet does not remove the obligation to perform the Task or comply with the Service Agreement. Completion, cancellation, release of recorded earnings, refunds and disputes are governed by the relevant transaction conditions and Applicable Law.

29. Wallet records, balance categories and statements

29.1 The Wallet may display transaction history, Top-Ups, Task payments, earnings, commissions, refunds, credits, adjustments, withdrawal requests and their recorded statuses. We may maintain an auditable record of material financial events, including the amount, currency, time, parties and relevant transaction reference.

29.2 Available Balance is the amount currently eligible for a supported payment or withdrawal, as expressly indicated. Pending Balance includes amounts awaiting collection, completion, confirmation or settlement. Restricted Balance includes amounts lawfully subject to a specific dispute, reversal, verification, security or other legitimate hold. A Promotional Credit is a non-cash benefit subject to its disclosed conditions.

29.3 We may correct verified errors, double credits, duplicate refunds, unauthorised entries, unsuccessful payments or misallocations, with an appropriate record and notice where practicable. A genuine correction does not entitle either party to keep money that does not belong to it.

29.4 We do not promise interest or investment returns on Wallet balances. The legal character of a particular balance and the party responsible for its handling depend on the actual financial arrangements and Applicable Law. No term of this agreement removes mandatory rights to funds, refunds, statements, information or redress.

30. Service Provider earnings and completion

30.1 A Service Provider's eligible earnings from a completed paid Task or Project are calculated from the agreed price and approved variations, subject to lawful fees or commissions clearly disclosed in advance, applicable taxes, legitimate refunds, reversals and the conditions of the relevant transaction.

30.2 Completion may require a User confirmation, supported delivery evidence, approval of agreed milestones, expiration of a properly disclosed review period, or resolution of a genuine dispute. No particular status alone guarantees that all amounts are immediately withdrawable where a payment is still pending or disputed.

30.3 Nurai may request evidence reasonably necessary to verify a disputed completion claim, including messages, agreed scope, work records or supporting documents, subject to privacy, safety and data-minimisation requirements.

30.4 Nurai will not impose a previously undisclosed commission, invent a new completion charge after performance or use its dispute process as a general entitlement to retain undisputed, legally owed money.

31. Withdrawal requests and receipt of funds

31.1 Eligible Users on either side of the marketplace may request withdrawal of funds identified as available for withdrawal by using the Wallet withdrawal feature and providing the requested payment details.

31.2 Withdrawal requests are subject to sufficient available funds, accurate recipient details, account eligibility, identity and security checks, applicable financial or tax requirements, outstanding payment disputes and any other lawful conditions relevant to the request. Nurai may request further information where reasonably necessary to process a request.

31.3 Once a valid withdrawal request is approved and processed, payment will be arranged using the recipient information supplied by the User. The time required for the funds to become available may vary with banks, institutions, countries, currencies, payment networks, verification procedures, public holidays and matters outside Nurai's reasonable control. Nurai does not guarantee a fixed withdrawal completion period.

31.4 A withdrawal may be delayed, rejected, returned or unsuccessful because of incorrect details, account restrictions, processing problems or other legitimate causes. Where this happens, we may ask for corrected information, update the request's status, reprocess an eligible payment or restore the appropriate amount to the relevant balance in accordance with the true outcome and Applicable Law.

31.5 Users must keep payout information current and must not provide a third party's account without lawful authority. Applicable transaction charges, foreign exchange costs and material withdrawal restrictions will be disclosed as required. Nurai may refuse an unlawful, fraudulent, insufficiently verified or unsupported withdrawal but will not permanently confiscate legitimate funds merely because a request cannot be completed.

32. Reversals, failed payments, refunds and chargebacks

32.1 Payments, Top-Ups or credits may be reversed where the original payment fails, is unauthorised, is subject to a lawful refund or chargeback, or was recorded in error. Nurai may adjust related balances and transaction records to reflect the actual outcome, subject to mandatory rights and fair procedures.

32.2 Where a valid refund arises from a Task dispute, cancellation, duplicate charge or another legally recognised event, the refund may be made by the supported method appropriate to the original transaction and relevant financial arrangements. The User will receive the information required by law about the amount, method, any lawful deductions and status.

32.3 A User must not obtain double recovery for the same loss through a Wallet credit, refund, payment reversal and separate bank chargeback. We may reconcile genuinely duplicated payments and amounts, keeping appropriate records and allowing dispute of an apparent error.

32.4 We may take proportionate measures in response to credible fraud, money laundering risks, payment reversals or security incidents, but only to the extent permitted by law. We will provide appropriate information and review opportunities when lawful and practicable.

33. Cancellations, no-shows and refunds for work

33.1 Cancellations, rescheduling, no-shows, incomplete work and material scope changes are governed by the specific conditions displayed before booking, the work actually performed, reasonably incurred costs, the parties' responsibilities and Applicable Law.

33.2 A Client may be responsible for an expressly disclosed, reasonable and lawful cancellation, travel or waiting charge where a Provider has relied on a confirmed booking and the specified conditions apply. A Provider may be responsible for consequences of failing to attend, cancelling without a valid reason or materially failing to perform. No undisclosed penalty will be invented after the event.

33.3 Where work was partly performed, a fair adjustment may reflect the lawful value of the completed portion, reasonable eligible expenses, amounts genuinely in dispute and non-excludable remedies. An unsafe or unlawful request may justify refusal without treating the refusing Provider as automatically at fault.

33.4 The parties must promptly inform one another of a material cancellation or problem and use available controls to record it. Nurai may facilitate payment adjustments or support a dispute resolution process where that functionality is offered, without unlawfully displacing a regulator or court.

34. Currency conversion, taxation and financial compliance

34.1 Prices, balances and transactions may be displayed or settled in different currencies. A displayed currency conversion or estimate may change due to exchange rates and applicable charges. The relevant final charge or amount payable will be disclosed as required before the User authorises the transaction.

34.2 Users are responsible for their own income tax, business tax, GST/VAT, withholding, payroll, social-security and registration obligations except where Applicable Law imposes collection, withholding, remittance or reporting duties on Nurai or another specified party.

34.3 We may request and verify identity, taxpayer, business-registration and transaction information, and disclose or report information to competent authorities, to the extent required or lawfully permitted. A User must not falsify a tax identity or instruct Nurai to conceal legally reportable transactions.

34.4 Payment and Wallet features are provided only where the relevant arrangements are lawful and operationally supported. Nurai may impose lawful restrictions or implement different compliant financial arrangements by jurisdiction. No feature is offered as an unlicensed deposit-taking, banking, investment or universal remittance product.

PART IV — TRUST, SAFETY AND ACCEPTABLE CONDUCT

35. Identity checks, verification and trust indicators

35.1 Nurai may verify identities, qualifications, licences, business information, contact details, professional credentials, insurance and other matters where appropriate. Checks may be performed by authorised employees or lawful third-party verification services.

35.2 Verification may be pending, approved for a defined purpose, expired, withdrawn or subject to review. Nurai may restrict access to a regulated category if required evidence is missing, expired, inconsistent or potentially fraudulent.

35.3 A verification indicator confirms only the stated check within its applicable scope. It does not guarantee good character, competent performance, solvency, current work availability, continuing legality or safety in every circumstance.

35.4 Users must not forge, alter, borrow or falsely represent credentials or use another person's identity, police clearance, work permit, business number or insurance document. We may retain and disclose information as lawfully necessary to investigate suspected fraud or regulatory noncompliance.

36. Safety, property and vulnerable persons

36.1 All Users must act lawfully and respectfully. Violence, sexual misconduct, harassment, stalking, intimidation, hate-based abuse, threats, exploitation, trafficking and abuse of children or vulnerable people are prohibited.

36.2 A Client is responsible for disclosing known material worksite hazards and lawful access conditions. A Worker must use legally required protective measures, operate within qualifications and refuse work that presents an immediate unlawful or serious safety risk. Each party retains any additional safety duties imposed by law.

36.3 Services involving care, children, health, medical treatment, security, electrical works, transport, building, financial advice, migration advice or other regulated activities may require heightened verification, insurance, approvals or service restrictions. The presence of a category on the Platform is not permission to practise an otherwise regulated profession.

36.4 If an emergency occurs, Users should contact the appropriate emergency services. Nurai support and any virtual assistant are not emergency-response services. We may take proportionate protective action, preserve relevant evidence and lawfully notify appropriate authorities where a serious risk is identified.

37. Location, maps and sensitive addresses

37.1 The Platform may use country, city, approximate location, mapping, service radius, availability and other location-related information to help Users find relevant opportunities. Location information may be approximate, incomplete or inaccurate, and does not guarantee a travel time, lawful work eligibility or job-site conditions.

37.2 Users must not publicly disclose another person's private home address, access code, exact whereabouts or sensitive location information without lawful authority. Nurai may restrict visibility of precise addresses or other private details until needed for a permitted engagement.

37.3 Users must not misuse location tools to stalk, surveil, threaten or locate another person for an unrelated purpose. Location collection and sharing are subject to the Privacy Policy and Applicable Law.

38. Communications and confidentiality

38.1 Users must communicate honestly and professionally through supported channels. Threats, abusive communications, phishing, spam, unsolicited marketing, harassment, unauthorised solicitation and requests for passwords or security codes are prohibited.

38.2 Applicant records, messages, prices, contact details, identity documents, worksite photographs and other confidential information obtained through the Platform may be used only for a lawful purpose connected to the relevant opportunity or relationship. Users must protect information entrusted to them and disclose it only as lawfully permitted.

38.3 Where permitted and appropriately disclosed, Nurai may retain or review relevant transaction communications to provide support, prevent fraud, address safety complaints, enforce these Terms or satisfy legal duties. Users should not assume that every message is inaccessible to authorised support or compliance staff.

38.4 Users must not pressure another party to move a transaction to an unsafe communication or payment channel in order to conceal fraud, avoid a properly agreed Platform charge or defeat legally required records.

39. Reviews, ratings, matching and featured content

39.1 Where review or rating features are available, Users must post honest feedback based on genuine experience. Fabricated reviews, purchased ratings, retaliation, review extortion, impersonation and publication of sensitive information are prohibited.

39.2 Nurai may investigate, moderate, label, restrict or remove reviews or content that are reasonably believed to be false, unlawful, unsafe, misleading, defamatory or in breach of these Terms, subject to required notice and appeal rights.

39.3 Search order, featured placement, suggested workers, matched jobs, availability indicators, reviews and trust badges are informational Platform features. They are not warranties of suitability, lawful eligibility, safety, ongoing performance or any guaranteed business result.

39.4 Sponsored or promoted placement will be identified where required by law. Nurai may adjust search, matching and ranking methods for quality, compliance, relevance, fraud prevention or technical reasons without promising a fixed position to any User.

40. Prohibited conduct and Platform integrity

40.1 Users must not use the Platform to conduct or facilitate fraud, identity theft, unlawful recruitment, discrimination, exploitation, laundering, trafficking, violence, the sale of unlawful goods or services, misuse of regulated professional titles or other illegal activity.

40.2 Users must not: post fictitious jobs or Tasks; misrepresent pay or credentials; demand unlawful advance payments; submit forged records; evade an existing lawful payment obligation through a concealed transaction; artificially manipulate bookings or reviews; or misuse promotions, referrals or subscription benefits.

40.3 Users must not scrape, harvest, copy, bulk export, resell or broker user profiles or Platform data without lawful authorisation; probe security; introduce malware; bypass rate limits or access controls; reverse engineer protected software contrary to law; or interfere with Platform functionality.

40.4 Nurai may investigate suspected violations and use proportionate measures, including content moderation, verification requests, posting restrictions, transaction review, removal of content, account suspension or referral to lawful authorities. Measures are subject to Applicable Law and the procedures in Section 46.

41. Off-Platform dealings and protection of Platform services

41.1 Users may conduct lawful independent relationships outside Nurai Connect. However, where a specific paid Service Agreement or Platform service is accepted through Nurai Connect subject to a disclosed and lawful Platform fee or payment condition, the parties must not deliberately conceal, misrepresent or reroute that same transaction solely to avoid the agreed obligation.

41.2 Users who move communications, applications or payments outside the Platform may lose access to transaction records, Wallet functions or dispute assistance that are available only for supported on-Platform transactions. Nurai cannot administer a payment or confirm an External Application it does not receive or control.

41.3 This clause does not prohibit an Employer from using a genuine External Application path shown in its listing, prevent independent lawful hiring, require unlawful wage deductions, restrict statutory rights or bind Users to undisclosed exclusivity arrangements.

PART V — CONTENT, PLATFORM RIGHTS AND ACCOUNT MANAGEMENT

42. User content and rights granted to Nurai

42.1 Each User is responsible for the material they submit, including profiles, CVs, photographs, job postings, messages, service descriptions, proposals, logos and other content (User Content). The User represents that the content is accurate where it purports to state facts and that the User has sufficient rights to submit it.

42.2 As between Nurai and the User, the User retains ownership of their own User Content, subject to the rights of others. The User grants Nurai and its authorised service providers a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, translate, adapt for technical display, distribute to permitted recipients and display that content as reasonably necessary to operate, secure, improve and lawfully promote the Platform, consistent with the User's visibility choices, the Privacy Policy and Applicable Law.

42.3 This limited licence does not authorise Nurai to sell private identity documents, confidential applications or sensitive personal information as a separate commercial dataset. When content is removed, public uses will cease within a reasonable period, subject to cached copies, lawful records, ongoing disputes and retention obligations.

42.4 Users must not submit material infringing third-party intellectual property, confidentiality, privacy or other rights. Nurai may remove reported infringing material and require relevant evidence of authorisation.

43. Nurai intellectual property and restrictions on use

43.1 Nurai Connect names, marks, logos, designs, software, interfaces, databases, compilation structures, original text, operational methods and other intellectual property owned or licensed by Nurai remain the property of Nurai or its licensors.

43.2 Nurai grants each User a limited, non-exclusive, non-transferable, revocable permission to access and use the Platform for lawful purposes consistent with these Terms. Except where permitted by law or separately authorised in writing, the User must not copy, license, resell, reproduce, commercially exploit, scrape or create a competing database from protected Platform material.

43.3 No User may imply official partnership, endorsement, employment, accreditation, insurance or agency by Nurai merely because their profile, advertisement or service appears on the Platform. Business Users must obtain express permission before using Nurai branding beyond permitted links or standard Platform sharing functions.

44. Artificial intelligence and automated features

44.1The Platform may provide automated suggestions, AI-assisted search, matching, translation, drafting, support, recommendations, moderation or fraud-detection tools where enabled. Outputs may be incomplete, inaccurate or inappropriate for a particular decision.

44.2 Users must independently check information material to hiring, work authorisation, legal compliance, health, safety, licensing, pay, professional qualifications or financial decisions. An automated match or response is not a promise of employment, an instruction to perform unsafe work or regulated professional advice.

44.3 Nurai may use proportionate automated tools to assist administration and detect harmful or fraudulent conduct. Where law requires explanation, human review, the ability to contest a significant automated decision or other safeguards, Nurai will provide the applicable rights and processes.

44.4 Personal information used in or disclosed to automated services will be handled under the Privacy Policy and Applicable Law. Users must not submit unrelated third-party sensitive information without a valid legal basis.

45. Nurai's rights to operate and protect the Platform

45.1 Subject to Applicable Law and existing accepted commitments, Nurai may determine the design, functionality, eligible markets, categories, product availability, listing presentation, search tools, subscription offerings and commercial policies of its own Platform.

45.2 Nurai may reject, moderate, suspend, delist, remove or restrict an advertisement, account, content item or transaction where it reasonably identifies a breach, fraud concern, legal or safety risk, unverifiable claim, unauthorised regulated activity, misuse of Platform resources or material technical problem.

45.3 We may carry out security checks, request compliance evidence, protect our brand, enforce properly agreed fees, investigate Platform misuse, maintain transaction records, correct technical errors, take proportionate protective measures and cooperate with lawful official requests.

45.4 We may pause services for maintenance, upgrades, cyber incidents, provider disruption, emergencies or other legitimate operational reasons. When practicable we will give appropriate notice of material disruption, but we do not promise uninterrupted availability at all times.

45.5 We will exercise these rights reasonably, proportionately and consistently with mandatory consumer, worker and other legal safeguards. A contractual discretion does not permit fraud, confiscation of legitimate funds, unlawful discrimination or avoidance of non-excludable responsibilities.

46. Suspension, account closure and appeal

46.1 A User may request account deactivation or closure through supported account settings or the official support channel. Closing an account does not automatically cancel existing bookings, lawful amounts due, completed purchases, open disputes, verified fraud investigations or recordkeeping duties.

46.2 Nurai may issue a warning, restrict a particular feature, temporarily suspend activity or close an account for material Terms violations, credible fraud, serious safety concerns, prohibited conduct, inability to satisfy necessary legal verification or other lawful grounds. Immediate action may be necessary to prevent harm, security compromise or regulatory breach.

46.3 Where appropriate and legally required, we will communicate the general reason for a material restriction and provide a route for review or appeal. Particular evidence may be withheld where disclosure would expose another person's private information, compromise safety, hinder fraud detection or conflict with law.

46.4 Account closure or suspension does not extinguish valid rights to undisputed, lawfully owed Wallet funds or earnings. Eligible outstanding balances, refunds, unsettled transactions and withdrawal requests will be handled under the applicable payment and dispute rules, subject to legitimate restrictions and Applicable Law.

46.5 Where users qualify for special protections against unfair deactivation, discrimination or adverse automated decisions, those statutory protections remain fully applicable.

47. Privacy and information handling

47.1 Nurai's separate Privacy Policy explains how personal information is collected, used, stored, shared and protected, including information relating to employment applications, business profiles, identity verification, payments, location, messages, customer support and international operations.

47.2 Employers, Clients, recruitment agencies and Service Providers who receive personal information through the Platform must use it only for legitimate and lawful purposes, apply appropriate security, honour applicable privacy rights and refrain from resale, unauthorised profiling or unrelated marketing.

47.3 An Employer or third-party operator receiving an External Application may be separately responsible for its own processing of that applicant's information. Nurai's Privacy Policy and the third party's notices must be considered according to the information each actually receives or controls.

47.4 Nurai may preserve records needed to meet legal, audit, security, payment, tax, safety or dispute obligations after account closure, subject to Applicable Law and the Privacy Policy. A request to delete an account does not necessarily require immediate destruction of every lawful transaction record.

48. Third-party websites, applications and services

48.1 The Platform may contain links to external employers, recruitment systems, payment facilities, verification providers, mapping services, professional resources or other websites. Third parties may operate under separate terms, privacy notices and technical arrangements.

48.2 Unless Nurai expressly states otherwise, the third party controls the content, security, transactions and decisions of its own service. Nurai does not promise to maintain or monitor every external destination continuously or guarantee the accuracy of third-party content.

48.3 We may disable an integration, change a service provider or remove a link for legitimate business, safety, security or legal reasons, subject to our own statutory duties and accepted transaction commitments. A link does not of itself amount to endorsement of all content or activities on its destination.

PART VI — DISPUTES, LIABILITY AND LEGAL PROVISIONS

49. Complaints and user-to-user disputes

49.1 Users should make a prompt, truthful report through the official Platform support or dispute channel when an issue involves a booking, fee, Wallet entry, service performance, unsafe conduct, misleading listing, payment, cancellation or suspected fraud.

49.2 Nurai may request relevant records, invite responses from affected parties, review available evidence, correct its own transaction or billing errors, facilitate a reasonable settlement, and administer a supported refund or other remedy where authorised. Users must not submit forged evidence, threaten witnesses or misuse the process.

49.3 We will handle complaints reasonably, taking account of seriousness, urgency, complexity, information available and Applicable Law. No universal period for every complaint outcome is guaranteed; any legally required deadline takes priority.

49.4 A User-to-User dispute ordinarily remains a dispute between the parties to the underlying employment or Service Agreement. Nurai is not a court or statutory tribunal and cannot conclusively determine employment rights, immigration status, criminal liability or every private contractual dispute. Its administration of Platform payments or moderation may nonetheless give rise to independent duties that Nurai will meet where applicable.

49.5 Users retain the right to contact appropriate consumer, workplace, privacy, financial or professional regulators and to pursue court, tribunal or other legally available remedies. These Terms do not require Users to surrender remedies that cannot lawfully be waived.

50. Disclaimer of guarantees and responsibility for other users

50.1 Nurai supplies its Platform services with the care, competence and other standards required by Applicable Law. To the extent lawful, the Platform is otherwise provided according to its actual published features and operational availability, without a promise that it will be error-free or continuously available.

50.2 Nurai does not independently guarantee the truth of all User Content, an Employer's hiring decision, the quality or safety of independent services, an applicant's qualifications, a Client's ability to pay outside supported payment arrangements, or the absence of disputes between Users.

50.3Employers, Clients and Service Providers remain responsible for their own acts, agreements, representations, workplaces, property, tax obligations and compliance. Nurai is not responsible for independent acts of third parties beyond Nurai's own legally established duties and any expressly assumed contractual obligations.

50.4 Nothing in these Terms excludes, restricts or modifies a consumer guarantee, lawful worker protection, remedy for fraud, privacy right, or other legal right or liability that cannot be excluded or limited.

51. Fair limits on liability

51.1 A party remains responsible for losses for which Applicable Law makes it liable. To the fullest extent permitted by law, Nurai is not liable for remote or unforeseeable losses that are not reasonably attributable to its own breach or other legally established responsibility.

51.2 Nothing limits liability where a limitation is prohibited, including for fraud, wilful unlawful conduct, non-excludable consumer remedies, worker rights or other mandatory obligations. Any proposed limitation must be interpreted fairly in light of the actual service, party and jurisdiction.

51.3 A User must take reasonable steps to reduce avoidable losses where legally required. Nurai will not rely on a blanket exclusion to avoid responsibility for its own failure to perform a non-excludable duty.

52. Responsibility for User violations and third-party claims

52.1 Users remain responsible for their own unlawful acts, fraud, material misrepresentations, infringements of third-party rights, unauthorised use of information, serious safety violations and other conduct for which the law makes them liable.

52.2 To the extent permitted by Applicable Law, an Organisation agrees to reimburse Nurai for proven and reasonably incurred direct losses and third-party liabilities caused by that Organisation's material unlawful misuse of the Platform or material breach of these Terms, excluding losses caused by Nurai's own wrongdoing or breach.

52.3 This provision is not an unlimited indemnity against every complaint, ordinary use or event outside the User's control. It does not require a consumer or protected small business to surrender a non-excludable right, defence or statutory remedy.

53. Changes to the Platform and these Terms

53.1 Nurai may update these Terms to reflect changes in products, technology, security, law, operating entities, payment arrangements or legitimate business operations. An updated version will carry a revised update date and will be made accessible through the official Platform.

53.2 We will provide the advance notice, renewed consent or other process required by Applicable Law for material changes. Where reasonably practicable, material changes adversely affecting existing Users will be explained before they take effect. Changes required urgently for law, security or safety may take effect sooner as permitted by law.

53.3 An update does not retroactively impose new undisclosed charges or unlawfully eliminate rights arising under a completed transaction, an accepted Service Agreement or an existing paid subscription. If a proposed change requires fresh acceptance, we will seek it.

53.4 Users who do not agree to new terms may stop using affected future services and request closure subject to already accrued lawful obligations and available rights.

54. Governing law and dispute jurisdiction

54.1 For Platform services contracted with Nurai Group Pty Ltd, these Terms are generally governed by the laws of South Australia and applicable Commonwealth laws of Australia, subject to mandatory laws and jurisdictional protections applying to a User or transaction.

54.2 Courts of South Australia may hear disputes concerning those Platform services on a non-exclusive basis, but these Terms do not require Users to waive rights to bring claims before a competent court, tribunal, regulator or statutory dispute body in a jurisdiction whose mandatory rules apply.

54.3 Where a different Nurai Entity is expressly identified as the contracting service provider, a validly disclosed local agreement or country-specific term may identify the applicable governing law and competent forum, subject to all non-excludable rights. An employment or Service Agreement directly between Users may be governed by different laws according to its actual circumstances.

54.4 The parties are encouraged to raise a complaint first through the Platform's support process where reasonable, but no clause requires a User to submit to a mandatory foreign arbitration system or give up a non-waivable public-law remedy merely to use the Platform.

55. Events outside reasonable control

55.1 Neither party is responsible for a failure or delay to the extent caused by circumstances beyond its reasonable control, such as major natural disasters, widespread infrastructure failure, official restrictions, severe cyber incidents or material disruption to third-party systems, provided the affected party takes reasonable steps required by law to mitigate the effects.

55.2 Such an event does not automatically remove rights to refunds, balances, completed work payments or other mandatory remedies. Each affected transaction will be assessed according to the actual facts and Applicable Law.

56. General legal provisions

56.1 If any provision is held unlawful or unenforceable, it will be limited or severed to the extent necessary, and the remainder will continue insofar as it can operate lawfully and fairly.

56.2 Failure or delay to enforce a provision on one occasion does not automatically waive future enforcement. Nurai may restructure or transfer its Platform operations, contracts or assets only in accordance with applicable notice, privacy, consent and other legal requirements; such action may not unlawfully reduce Users' existing rights.

56.3 These Terms, together with properly accepted transaction-specific conditions and applicable identified policies, govern the subject matter of the relevant Platform service. No promotional statement permits fraud, misleading representations or exclusion of mandatory consumer or worker rights.

56.4 Section headings assist navigation and do not alter the meaning of the provisions. The English version is the reference version to the extent permitted by law; any required local-language disclosures or rights will be honoured.

56.5 Provisions that by their nature must continue after account closure, including accrued payment rights, outstanding disputes, lawful record retention, confidentiality, protection of intellectual property and applicable limitations of liability, survive to the extent lawful and necessary.

57. Notices, support and contact

57.1 Questions about these Terms, suspected fraudulent activity, safety reports, account matters, payment queries, Wallet withdrawals, legal notices or complaints may be submitted using the official Contact Us facility accessible through www.nuraiconnect.com

, or an expressly designated official country or support channel displayed on the Platform.

57.2 The relevant Nurai Entity and contact route may be identified in a local service disclosure, account notice, order confirmation or invoice where required. Contact information should be taken from the official Platform rather than an unverified message or third-party advertisement.

57.3 Nurai may deliver ordinary service notices through the Platform, registered email or other lawful electronic channel. Notices that must be served in a particular form by law must follow that form; these Terms do not replace formal legal service requirements.

57.4 Users must not send full bank-card numbers, account passwords, one-time security codes or unnecessary sensitive identity documents by ordinary messages or email. Where such records are required, use the secure process designated by Nurai.
